Choose a service agreement, sale of goods contract or mutual NDA, enter both parties, what is covered, the price and the notice period, and the generator assembles a seven-clause draft with signature lines. A $1,250 fee is written as one thousand two hundred fifty dollars and 00/100, the way a check spells it, so figures and words agree.

About this tool

Freelancers, small shops and people selling an item privately often need something in writing before work starts or money changes hands. This generator builds a short first draft from fixed clause templates: who the parties are, what is being delivered or shared, the price in figures and in words, when the agreement starts, how much notice either side must give to end it, which law applies, and an entire-agreement clause. A table lists the clauses so you can check nothing is missing, and the draft text can be copied into a word processor for editing. It is a starting point, not legal advice: it does not cover liability caps, intellectual property assignment, warranties beyond ownership, or local rules such as consumer cooling-off periods, and a contract of real value deserves review by a lawyer licensed where it will be enforced.

How to use it

  1. Pick the agreement type

Services for paid work, Sale of goods for selling an item, Mutual NDA when both sides will share confidential information. The NDA hides the price field.

  2. Name both parties

Use full legal names, including LLC or Inc. for a business, exactly as they would appear on an invoice or ID.

  3. Describe the scope

List deliverables, quantities, serial numbers or deadlines. A short description triggers a warning because vague scope causes most disputes.

  4. Set price, start date, notice and law

Enter the price, the start date, the notice days with the stepper, and the state or country whose law governs the deal.

  5. Copy and review the draft

Read the generated text and the clause table, then copy it into your editor to add anything specific to your deal.

parties

dollars, cents
the price split into whole dollars and a two-digit cent remainder

Cornell's Legal Information Institute describes a contract as an agreement creating obligations enforceable by law, built on mutual assent, consideration, capacity and legality. The templates put the assent (both signature lines), the consideration (price or the mutual promise of secrecy) and the defined terms into fixed wording. The price is spelled out in the same style used on checks, so a typo in the figures can be spotted against the words. Nothing is checked against the law of the jurisdiction you type.

When not to use it

  • Employment contracts, which carry statutory terms on wages, hours and dismissal.
  • Property sales or leases, which usually need prescribed forms and registration.
  • High-value or cross-border deals where liability limits and dispute forums matter.
  • Agreements with a minor or anyone who lacks legal capacity to contract.

Common mistakes

  • Using a trading name instead of the registered legal name of a business.
  • Writing a scope like 'website work' with no deliverables or deadline.
  • Letting the price in figures and the price in words disagree after editing.
  • Choosing a governing law neither party is located in without a reason.

Frequently asked questions

Is a contract made from a template legally binding?

It can be. Binding force comes from the elements Cornell's Legal Information Institute lists, such as mutual assent, consideration, capacity and a lawful purpose, not from who drafted the wording. Signing a clear template that both sides understand usually satisfies those elements, but some contracts, like land sales, also need specific formalities that this draft does not supply.

Why is the price written out in words?

Words are harder to alter than digits and make a typo obvious. If the figure says $1,250.00 and the words say one thousand two hundred fifty dollars and 00/100, they confirm each other. Where they conflict, many legal systems give the words priority, the same rule that applies to checks.

What does the entire-agreement clause do?

It states that the signed document replaces earlier emails, calls and promises about the same deal, and that later changes must be written and signed by both sides. That stops either party relying on something said before signing that never made it into the text.

What does a mutual NDA cover here?

Both parties promise to keep the other's confidential information secret, use it only for the stated purpose and return or destroy it on request. Public information, information already known, and anything a law requires to be disclosed is excluded, which mirrors the usual carve-outs in commercial NDAs.

How long should the notice period be?

It depends on the work. Short freelance jobs often use 7 to 14 days, ongoing retainers 30 days, and partnerships 60 to 90 days. The stepper accepts 1 to 365 days, and the number appears in the term clause with 'day' or 'days' as appropriate.

Does it matter which governing law I enter?

Yes. The governing law decides how the contract is interpreted, which implied terms apply and what remedies exist. Pick the place where both parties are, or where the work happens. The tool inserts your text as written and does not check it against that jurisdiction's rules.

Can I add clauses the generator does not include?

Copy the draft into your editor and add them, numbered after the last clause. Common additions are intellectual property ownership, a liability cap, a deposit, a warranty period for goods, and a dispute-resolution forum such as mediation before court.
