An employee NDA defines what counts as confidential, what does not, how long the duty lasts and which law applies. Enter both names, a date, the governing law and a term: with 2 years and return of materials you get 10 clauses, including the immunity notice that 18 U.S.C. 1833(b) requires in employee contracts covering trade secrets.

About this tool

Small employers often hire before a lawyer has drafted anything, and a new starter may see source code or customer lists on day one. This generator assembles a plain-English employee confidentiality agreement from a handful of facts: the parties, job title, effective date, governing law and how many years the duty survives after the job ends. Each clause appears as its own row, so you can copy the wording into a document and edit it. The draft always carries the whistleblower immunity notice from the Defend Trade Secrets Act, which an employer needs in order to claim exemplary damages or fees against an employee under that Act. It is a starting draft, not legal advice: enforceability depends on the state or country, and a lawyer licensed there should review it before signing.

How to use it

  1. Name the parties

Type the employer's registered name, the employee's full name and, optionally, the job title.

  2. Set the terms

Pick the effective date, write the governing law and use the − and + buttons to set the years the duty lasts after employment.

  3. Choose optional clauses

Tick return of materials and non-solicitation if you want them; the clause count updates.

  4. Copy the wording

Read the numbered clauses in the table and copy the text into your own document for review.

Examples

Two-year NDA for a software engineer

Nine core clauses plus return of materials; the federal whistleblower notice is part of the core set.

California, seven years, with non-solicitation

Employer legal name
Acme Inc.
Employee full name
Lee Chen
Effective date
2026-03-01
Governing law
the State of California
Confidentiality after employment
7
Include return-of-materials clause
Yes
Include non-solicitation clause
Yes

Result Agreement length: 11 clauses
Words: 350
Confidentiality term: Employment + 7 years
Governing law: the State of California

  1. Core clauses: parties, definition, exclusions, obligations, term, notice, remedies, governing law, signatures (9).
  2. Optional clauses added: 2.
  3. The 18 U.S.C. 1833(b) immunity notice is always included.

Both optional clauses are added, and the tool flags California's Section 16600 and the long term.

How it is calculated

clauses = 9 core + return of materials (optional) + non-solicitation (optional)

9 core
parties, definition, exclusions, obligations, term, whistleblower notice, remedies, governing law, signatures
term
years the confidentiality duty survives after employment ends, 1 to 10

The clauses follow the usual structure of a unilateral confidentiality agreement: a definition of protected information, the four standard exclusions (public, already known, received from a free third party, compelled by law), the duty itself and its duration. Trade secrets stay protected for as long as they remain secret, separately from the fixed term. The immunity notice paraphrases 18 U.S.C. 1833(b)(1), and the tool flags a non-solicitation clause under California law and any term above five years.

Sources

When not to use it

  • For a mutual NDA between two companies, where both sides share information.
  • For a non-compete, which many jurisdictions restrict far more tightly than confidentiality.
  • For roles covered by a union agreement or public-sector rules that set their own confidentiality terms.

Common mistakes

  • Leaving out the 18 U.S.C. 1833(b) notice and losing exemplary damages and fees under the Act.
  • Defining confidential information so broadly that it covers general skills the employee brought to the job.
  • Writing a city instead of a state or country in the governing law clause.

Frequently asked questions

Why does the draft include a whistleblower notice?

Section 1833(b)(3) of the Defend Trade Secrets Act says an employer must give notice of the immunity in any contract with an employee that governs trade secrets. If it does not, the employer cannot recover exemplary damages or attorney fees from that employee under the Act.

How long should the confidentiality term be?

Two to five years after employment is common for ordinary business information, because it goes stale. Trade secrets are treated separately in this draft and remain protected as long as they stay secret. The tool warns when you pick more than five years.

Can an employee NDA stop someone working for a competitor?

No. A confidentiality agreement limits what the person discloses or uses, not where they work. Restricting the job itself needs a non-compete, which is void in California and limited in many other places.

Is a non-solicitation clause enforceable in California?

Often not. Business and Professions Code section 16600 voids most contracts that restrain someone from a lawful profession, and California courts have applied it to customer non-solicitation clauses. The tool shows a warning when you combine the two.

Does the agreement need to be signed before the first day?

Ideally yes. In some US states continued employment alone is not enough consideration for an agreement signed mid-job, so employers sign it with the offer or give something extra later.

Can I use this draft outside the United States?

The structure works in most common-law systems, and you can write any governing law, such as England and Wales. The whistleblower notice is a US federal rule, so local counsel may replace it with the local equivalent.
