Pick one-way or mutual, name the two parties, state the purpose, the start date, the period and the governing law, and the generator assembles a twelve-clause draft. A one-way NDA starting 1 November 2026 with a 3-year period ends on 1 November 2029. Ticking the individual box adds the 18 U.S.C. 1833(b) immunity notice as a thirteenth clause.

About this tool

Founders sharing a pitch, small manufacturers sending drawings to a supplier and companies onboarding a freelance developer all need the same thing first: a short written promise that what they show stays private. This generator builds that promise from eight answers. It writes the clauses most NDAs share, including the definition of confidential information, the four usual exclusions, use limited to a stated purpose, disclosure required by law, return of materials and remedies, and it works out the date the duties end. For a recipient who is an individual, it inserts the federal whistleblower immunity notice that US employers need in order to claim exemplary damages and fees under the Defend Trade Secrets Act. The output is a plain-text starting draft: it does not cover non-compete or non-solicitation terms, and local rules on enforceability differ, so a lawyer in the governing jurisdiction is the right reviewer before anyone signs.

How to use it

  1. Choose the agreement type

One-way binds only the second party; Mutual binds both, for talks where each side shares information.

  2. Name the parties

Use full legal names, such as the registered company name with its suffix, and tick the box if the recipient is an individual employee or contractor.

  3. Set the terms

Describe the purpose in a few words, pick the effective date, use the minus and plus buttons for a 1 to 10 year period, and enter the governing law.

  4. Read and copy the draft

The draft, its clause list and the end date refresh as you type; copy the text into your own document for editing and review.

Signed for Nadia Hassan: ____________________ Date: ________
Type: One-way

  1. Template type: one-way, so only Nadia Hassan is bound.

  3. Individual recipient: 18 U.S.C. 1833(b) immunity notice added.

Because the recipient is an individual contractor, the draft adds the federal immunity notice, and a three-year term ends on 1 November 2029.

Signed for Kestrel Packaging Inc: ____________________ Date: ________
Type: Mutual
Clauses: 12
Duties end: 2028-03-15
Immunity notice: Not included
Words in draft: 332

  1. Template type: mutual, so both parties disclose and both are bound.
  2. Term end = 2026-03-15 + 2 years = 2028-03-15.
  3. Company recipient: immunity notice left out.

Both sides share pricing and specifications, so the mutual template binds each party for two years.

How it is calculated

End date = effective date + N calendar years (29 February falls back to 28 February); clauses = 12, or 13 with the immunity notice

N
Confidentiality period in whole years, 1 to 10
Effective date
The day the agreement takes effect and the term starts
Immunity notice
The 18 U.S.C. 1833(b) whistleblower notice, added when the recipient is an individual

The template follows the structure common to US and UK confidentiality agreements: parties, purpose, definition, exclusions, obligations, compelled disclosure, term, return of materials, no licence, remedies, governing law and signatures. The term clause names the end date but keeps trade secrets protected for as long as they qualify, because a secret does not stop being one when a contract expires. Under 18 U.S.C. 1833(b)(3), an employer that leaves the immunity notice out of an agreement with an employee or contractor cannot recover exemplary damages or attorney fees from that person under the federal Act.

Sources

When not to use it

  • Deals that also need non-compete, non-solicitation or exclusivity terms, which this draft does not contain.
  • Employment contracts, where confidentiality usually sits inside a wider agreement drafted for local labour law.
  • Sharing personal data of customers or patients, which brings data protection rules this template does not address.
  • High-value transactions such as acquisitions, where negotiated carve-outs matter more than a standard form.

Common mistakes

  • Writing a trading name instead of the registered legal entity, which can leave the wrong party bound.
  • Stating the purpose so broadly that it no longer limits how the recipient may use the information.
  • Leaving out the immunity notice for a US contractor, which forfeits exemplary damages and fees under the federal Act.
  • Choosing one-way when both sides will share information, so one party's material is unprotected.

Frequently asked questions

What is the difference between a one-way and a mutual NDA?

In a one-way agreement only one party discloses and only the recipient takes on duties, which suits hiring a contractor or pitching to a supplier. A mutual agreement makes both parties discloser and recipient at once, which suits partnership or merger talks where each side opens its books.

How long should confidentiality last?

Two to five years is common for ordinary business information because its value fades. The generator allows 1 to 10 years and warns above 5. Trade secrets are treated separately: the term clause keeps them protected for as long as they still qualify as trade secrets under the law.

Why does the draft add a whistleblower notice for individuals?

The Defend Trade Secrets Act gives individuals immunity when they disclose a trade secret in confidence to a government official or a lawyer to report a suspected legal violation. Section 1833(b)(3) says an employer that omits notice of this immunity from an employee or contractor agreement cannot recover exemplary damages or attorney fees from that person under the Act.

What information is excluded from protection?

The draft lists the four standard exclusions: information that is or becomes public without the recipient's fault, information the recipient already knew lawfully, information received from a third party free of any duty of confidence, and information developed independently without using what was disclosed.

Can the recipient ever disclose the information?

Yes, to staff or advisers who need it for the stated purpose and are bound by similar duties, and when a law or court order compels disclosure. In that second case the draft asks for prompt notice where lawful so the owner can seek a protective order.

Does the agreement need witnesses or a notary?

Most commercial NDAs are valid when signed by authorised representatives of each party, without witnesses or notarisation. Some jurisdictions or company constitutions add formalities, so check who may sign for a company before relying on the signature block.

Which governing law should I enter?

Usually the state or country where the disclosing party is based or where any dispute would be heard. Enter it as a jurisdiction name, such as State of Delaware or England and Wales, rather than a city, since contract law is set at that level.
